This Licensee Agreement ("Agreement") is entered into between Spice Holdings LLC ("Spice Holdings," "we," "us," or "our"), the owner and operator of the LottoLuck platform, and the individual or business entity approved to act as an authorized LottoLuck Agent and Licensee ("the Licensee," "Agent/Licensee," "you," or "your"). By submitting a licensee application, accessing the agent dashboard, or performing any agent or licensee activity on the Platform, you acknowledge that you have read, understood, and agreed to be bound by all terms and conditions set forth in this Agreement. This Agreement grants you an exclusive, non-transferable license to operate the LottoLuck lottery platform within your assigned territory. Your role includes promoting LottoLuck to local players, selling lottery credits directly to players, facilitating player top-ups, processing player cashout requests, and recruiting new players within your designated area. Spice Holdings LLC is the sole developer and IP owner of the LottoLuck platform. Spice Holdings does not operate as a lottery company and is not responsible for your regulatory compliance or day-to-day operations in your territory.

10% of Territory License Fee due immediately upon approval; balance due within 30 days — dashboard access granted upon deposit
Territory boundaries are defined and documented by Spice Holdings LLC at the time of approval
Credit advance issued on approval — amount varies by country, must be repaid to Game Master
All transactions are denominated in the local currency of each territory
35:1 payout on exact-order winning picks
Each credit sale triggers a 48-hour advance repayment window to the Game Master
Each sale auto-creates a pending repayment record in your dashboard
Overdue alert issued if any repayment exceeds 48 hours
After initial advance depletes: Game Master issues additional advances — no upfront payment required
Accepted advance repayment methods: Card, Bank Transfer, PayPal, USDT, or Cash
Agents/Licensees are responsible for processing all player cashout requests in their territory
No public social media advertising — all player acquisition must be through direct personal outreach
Independent contractor — you handle your own accounting, taxes, and regulatory compliance
Agent/Licensee dashboard for full transparency on credits, revenue, and repayments
Either party may terminate with 7 days notice; all outstanding balances due on exit
Players cannot cash out within 14 days of account registration
Minimum 5 new player sign-ups per week required — failure may result in removal
Non-compliance with this Agreement results in immediate removal from the network
All LottoLuck intellectual property is exclusively owned by Spice Holdings LLC
Agents/Licensees must not disclose platform trade secrets, source code, or proprietary systems
Non-disclosure obligation survives termination for five (5) years
Spice Holdings provides ongoing training and support to all Agents/Licensees
Agents/Licensees handle all player communications and support within their exclusive territory
Players direct all support requests to their territory Agent/Licensee — Spice Holdings does not provide direct player support
